2. Description of the Service

nHsCRM is a cloud-based Customer Relationship Management (CRM) software (SaaS), provided exclusively for business use by companies and entrepreneurs. The Service enables management of customer data, tracking of business processes, organization of communications, and related functionalities.

The Service does not constitute legal, financial, tax, medical, or any other professional advice. The Subscriber bears sole responsibility for all business decisions made in connection with the use of the Service.

3. Registration and Account

3.1. Eligibility

The Service may only be registered and used by natural persons who have reached the age of 18 and have full legal capacity, or by authorized representatives of legally registered businesses.

3.2. Account Security

The Subscriber is responsible for maintaining the confidentiality of login credentials (email address, password) associated with their account. The Subscriber must immediately notify the Provider of any unauthorized access. The Provider shall not be liable for damages arising from the loss, theft, or unauthorized use of account credentials.

3.3. Data Accuracy

The Subscriber warrants that all information provided during registration and use is truthful, accurate, and up to date. Providing false or misleading information may result in immediate account suspension.

4. Use of the Service

4.1. Permitted Use

The Subscriber may use the Service exclusively in connection with their own business activities, in compliance with applicable laws and regulations.

4.2. Prohibited Activities

The Subscriber shall not:

• upload, store, or transmit content that is unlawful, infringing, defamatory, threatening, obscene, or otherwise in violation of any law;
• use the Service for sending unsolicited messages (spam), bulk communications, or communications without the recipient's consent;
• attempt unauthorized access to the Service's systems, other users' accounts, or data;
• use automated tools (bots, scrapers, crawlers) to extract data from the Service;
• reverse engineer, decompile, or extract the source code of the Service;
• resell, sublicense, rent, or transfer the right to use the Service to any third party without the Provider's prior written consent;
• use the Service for developing a competing product or service, or for benchmarking purposes without the Provider's prior written consent;
• intentionally overload the Service's infrastructure or engage in any activity that endangers the availability of the Service.

5. Intellectual Property

The Service — including its source code, design, functionality, documentation, trademarks, and logos — is the exclusive intellectual property of the Provider and is protected by copyright, trademark, and other intellectual property laws.

By using the Service, the Subscriber receives a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, solely under the conditions set forth in these Terms and for the duration of the subscription.

If the Subscriber sends development suggestions, feedback, or ideas (hereinafter: "Feedback") to the Provider, the Subscriber agrees that the Provider acquires an unlimited, irrevocable, royalty-free right to use such Feedback for any purpose.

6. Data Ownership and Processing

Data uploaded by the Subscriber to the Service (hereinafter: "Subscriber Data") remains the property of the Subscriber. The Provider processes Subscriber Data solely for the purpose of providing the Service, acting as a data processor.

The Provider is entitled to use Subscriber Data in anonymized and aggregated form for service development, statistical analysis, and benchmarking, in a manner that does not identify the Subscriber or any individual data subject.

Detailed data processing rules are set forth in the Privacy Policy, which forms an integral part of these Terms.

7. Availability and Maintenance

The Provider makes commercially reasonable efforts to ensure continuous availability of the Service. The Provider does not guarantee uninterrupted, error-free, or continuous availability of the Service.

The Service may become temporarily unavailable due to:

• scheduled maintenance (of which the Provider will endeavor to provide advance notice);
• urgent security patches or updates;
• circumstances beyond the Provider's control (force majeure, see Section 12).

The Provider shall not be liable for damages arising from service outages, slowdowns, or data loss resulting from maintenance, updates, or force majeure events.

8. Fees and Payment

The Service is currently available in beta and may be used free of charge. The Provider reserves the right to introduce fees for certain features or the full use of the Service in the future. Subscribers will be notified at least 30 days prior to the introduction of any fees.

If paid services are introduced, the fee structure, payment terms, and cancellation rules will be set forth in a separate notice that forms part of these Terms.

9. Suspension and Termination

9.1. Termination by the Subscriber

The Subscriber may request account deletion at any time by contacting iroda@elkerites.hu.

9.2. Suspension or Termination by the Provider

The Provider may suspend or terminate the Subscriber's access immediately, without prior notice, if:

• the Subscriber violates any provision of these Terms;
• the Subscriber uses the Service for unlawful activities;
• the Subscriber's activities endanger the security, integrity, or data of the Service or other users;
• bankruptcy, liquidation, or winding-up proceedings are initiated against the Subscriber;
• in the Provider's reasonable judgment, the Subscriber abuses the Service.

9.3. Data After Termination

Following account termination, the Provider will retain Subscriber Data for 30 calendar days, during which the Subscriber may request data export. After the 30-day period, the Provider will permanently and irreversibly delete all data.

10. Disclaimer of Warranties

The Subscriber acknowledges that the Service is an information technology system whose operation depends on numerous external factors (internet connection, browser version, third-party integrations). The Provider accepts no liability for such external factors.

12. Force Majeure

The Provider shall not be liable for any failure or delay in providing the Service caused by circumstances beyond the Provider's reasonable control, including but not limited to:

• natural disasters, epidemics, or pandemics;
• war, terrorism, or civil unrest;
• governmental actions or changes in legislation;
• cyberattacks or DDoS attacks;
• internet service provider or third-party infrastructure failures;
• power outages, fires, or floods;
• outages of third-party services used by the Provider.

13. Indemnification

The Subscriber agrees to indemnify and hold harmless the Provider, its officers, employees, and partners from and against all claims, damages, costs, and expenses (including reasonable attorney's fees) arising from:

• the unlawfulness of content uploaded by the Subscriber to the Service;
• the Subscriber's breach of these Terms;
• the Subscriber's violation of third-party rights;
• the Subscriber's unlawful activities.

14. Third-Party Integrations

The Service may offer integrations with third-party services (e.g., Google Gmail, Facebook/Meta, SMS providers). The availability, operation, and data processing practices of such integrations are determined by the respective third party. The Provider shall not be liable for the availability, changes, discontinuation, data processing practices, or any deficiencies of third-party services, or for any damages resulting therefrom.

The Subscriber acknowledges that use of third-party integrations is subject to the respective third party's own terms and conditions, for which the Provider accepts no responsibility.

15. Amendments

The Provider reserves the right to unilaterally amend any provision of these Terms. The Subscriber will be notified of amendments at least 14 calendar days before they take effect, via email or through the Service interface.

Continued use of the Service after the effective date of an amendment constitutes acceptance of the amended Terms. If the Subscriber disagrees with an amendment, they are entitled to terminate their account before the amendment takes effect.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Hungary. The parties shall first attempt to resolve disputes amicably. If such attempts fail, the parties submit to the exclusive jurisdiction of the Budapest II and III District Court (Budapesti II. és III. Kerületi Bíróság) or the Budapest Metropolitan Court (Fővárosi Törvényszék), as applicable.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, such finding shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the closest lawful and enforceable provision.

18. Entire Agreement

These Terms, the Privacy Policy, and any individual agreements together constitute the entire agreement between the parties regarding the Service and supersede all prior oral or written agreements.
